Consignment Agreement                         Account # _____

This Consignment Agreement (the “Agreement”) states the terms and conditions that govern the contractual agreement between _____________________ (the “Consignor”) and Outer Coast Outfitters (the “Consignee”)  who agree to be bound by this Agreement.

WHEREAS, the Consignor owns right and title to the “Consigned Items” and the Consignee desires to take possession of the Consigned Items with the intention of selling them to a third party.

NOW, THEREFORE, in consideration of the mutual covenants and promises made by the parties hereto, the Consignor and the Consignee (individually, each a “Party” and collectively, the “Parties”) covenant and agree as follows:

RIGHT TO SELL. The Consignor hereby grants to the Consignee the exclusive right to display and sell the Consigned Items according to the terms and conditions of this Agreement.

CONDITION AND EXCLUSIONS OF CONSIGNED ITEMS. Items must be in at least good, used condition; be free from any broken pieces or functional failings; meet current, Canadian safety standards. Helmets and climbing equipment can only be consigned if new with tags. Inflatable lifejackets and PFDs, guns, ammunition, bows and arrows will not be accepted. We refuse the right to exclude other items in the future.

PRICING. The Consignor may sign-in to their account to add and price items or they may bring items to the Consignee to enter and price. The Consignee may review and adjust Consigner-priced items up in sale price at their discretion. Items valued at over $250 must be entered and priced by the Consignee to receive the appropriate split.

MINIMUM CONSIGNER EARNINGS. There will be no minimum earnings set for any given Consigned Item to go to the Consigner. However, the Consigner may request to reclaim their Consigned Items at any time if the sale price has dropped below their desired value.

CONSIGNMENT SPLITS. The Consignee and Consigner shall each be entitled to 50% of the full purchase price of the Consigned Items for all items valued up to $250. For items with purchase prices set above $250, the Consignee receives 40% and the Consigner 60%.

AUTO-DISCOUNTS. The Consignee may set auto-discounts for Consigned Items. Auto-discounts are set at the following schedule, but are subject to change:

30 days – 10%

60 days – 25%

90 days – 40%

120 days – 50%


END OF CONTRACT. At any time up to 150 days, the Consigner may reclaim their Consigned Items or at 150 days they will become the property of the Consignee to sell or donate at their discretion.


CONSIGNER PAY-OUT. Consigners may be paid out by cheque, Interac e-transfer or use their pay-out as store credit, with which they will receive an additional 10% discount on their purchases, not to be combined with other offers.

INSURANCE. The Consignee represents and warrants that the Consignee shall maintain insurance coverage sufficient to compensate the Consignor for the fair market value of the Consigned Items in the event of damage due to fire, theft, or otherwise.

CONSIGNOR REPRESENTATION. The Consignor hereby represents and warrants that the Consignor holds full title (or has received, in writing, the authorization to sell the Consigned Items by any necessary parties) to the Consigned Items.

NO MODIFICATION UNLESS IN WRITING. No modification of this Agreement shall be valid unless in writing and agreed upon by both Parties.

APPLICABLE LAW. This Agreement and the interpretation of its terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and subject to the exclusive jurisdiction of the federal and provincial courts located in Canada.

IN WITNESS WHEREOF, each of the Parties has executed this Contract, both Parties by its duly authorized officer, as of the day and year set forth below.
